These Terms primarily govern use of the public Website.
Paid consulting, marketing, technology, application development, SEO, AEO, GEO, design, hosting, support, maintenance, or other professional services may be governed by separate documents, including:
- proposals;
- statements of work;
- master services agreements;
- project agreements;
- order forms;
- checkout terms;
- service descriptions;
- support agreements; or
- other written agreements.
Where a separate written agreement applies, that agreement will control to the extent of any direct conflict concerning the specific paid service.
Purchasing a service does not make every provision of a separate project or professional-services agreement part of these Website Terms.

12. Feedback

- profitability;
- ROI; or
- any particular business outcome.
Business results depend on many factors outside OrangeFin’s control.

- continuously updated; or
- appropriate for every situation.
We may correct, update, remove, or change content without notice.

OrangeFin may contact you to clarify scope.
If OrangeFin declines an unstarted purchase, amounts paid for that declined service will be refunded, subject to applicable law and any legitimate adjustments expressly agreed with you.
25. Scope of Online Services
Prices published on the Site, including on the pricing page, are typical starting points in Canadian dollars, not fixed quotations. The final amount for any engagement is determined by its written scope, and OrangeFin confirms scope, timeline and cost with you before work begins. Scoping is a required step for every engagement, and a published starting figure does not commit OrangeFin to deliver any particular result at that figure.
The specific scope of an online purchase is determined by:
- the service description displayed at purchase;
- any checkout-specific terms;
- any written order confirmation; and
- any later signed agreement or statement of work.
A purchase does not include work outside the stated scope.
Additional work may require:
- additional fees;
- a change order;
- a separate purchase; or
- a separate agreement.
26. Recommended Default Cancellation and Refund Policy
Unless a specific offer, checkout page, or separate written agreement states otherwise:
Before Substantive Work Begins
You may request cancellation before OrangeFin begins substantive work by contacting:
Where cancellation occurs before substantive work begins, OrangeFin will refund amounts paid for the cancelled service, less any:
- non-recoverable third-party costs;
- specifically authorized external expenses; and
- other amounts that applicable law permits OrangeFin to retain.
After Substantive Work Begins
Once substantive work has begun, fees are generally non-refundable except:
- where OrangeFin expressly agrees otherwise;
- where a separate agreement provides otherwise; or
- where required by applicable law.
Mandatory Rights
Nothing in these Terms removes or limits cancellation, refund, or other rights that cannot lawfully be waived.
27. Timing
Any timeline displayed on the Website is an estimate unless expressly guaranteed in a signed written agreement.
Timing may depend on:
- client responses;
- access credentials;
- approvals;
- content;
- assets;
- data;
- technical dependencies;
- third-party providers; and
- scope changes.
28. Payment Failures and Chargebacks
You agree to contact OrangeFin in good faith about billing concerns before initiating an improper or fraudulent chargeback.
OrangeFin may suspend work or access where:
- payment fails;
- payment is reversed;
- a charge is disputed without legitimate basis; or
- required fees remain outstanding.
This section does not prevent you from exercising lawful rights through your payment provider.
Website Operation and Liability
29. Availability
OrangeFin does not guarantee uninterrupted Website availability.
The Website may be unavailable because of:
- maintenance;
- updates;
- hosting failures;
- cybersecurity incidents;
- provider outages;
- internet failures;
- software errors; or
- events outside our control.
30. Disclaimer of Warranties

To the fullest extent permitted by law, OrangeFin and its officers, directors, employees, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use the public Website.
This may include, where legally excludable:
- lost profits;
- lost revenue;
- lost opportunities;
- business interruption;
- lost data;
- loss of goodwill; or
- decisions made in reliance on unverified public tool outputs.
For a claim arising solely from free public use of the Website, OrangeFin’s aggregate liability will not exceed CAD $100, to the fullest extent permitted by law.
For a claim arising from a paid service:
- a separate written agreement will control where applicable; or
- if no separate agreement applies, OrangeFin’s aggregate liability will not exceed the amount paid to OrangeFin for the specific service giving rise to the claim.
These limitations do not apply where prohibited by law.
32. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless OrangeFin and its officers, directors, employees, contractors, and representatives from third-party claims, losses, liabilities, and reasonable costs arising from:
- your unlawful use of the Website;
- your material breach of these Terms;
- content you submit in violation of another party’s rights;
- fraud;
- malicious conduct; or
- unauthorized use of OrangeFin intellectual property.
This section does not require you to indemnify OrangeFin for OrangeFin’s own conduct where such indemnification is prohibited by law.

without regard to conflict-of-law rules that would require application of another jurisdiction’s laws.
Nothing in these Terms deprives a person of mandatory legal rights that cannot lawfully be waived.
38. Jurisdiction and Venue
Subject to mandatory law, disputes arising from these Terms or the Website will be brought before courts of competent jurisdiction located in:

and the parties submit to that jurisdiction.
39. Severability
If a provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
40. No Waiver
Failure by OrangeFin to enforce a provision of these Terms does not waive the right to enforce it later.
41. Assignment
You may not assign your rights or obligations under these Terms without OrangeFin’s prior written consent.
OrangeFin may assign these Terms in connection with:
- a corporate reorganization;
- financing;
- merger;
- acquisition;
- sale of assets; or
- transfer of business,
subject to applicable law.
42. Entire Agreement for Website Use
These Terms, together with the Privacy Policy and any incorporated Website notices, constitute the agreement governing general use of the public Website.
Separate agreements may govern paid services.
